3. User Warranties

The User agrees, warrants and represents that:-

1. Use of the Website will not violate any applicable law or regulation;
2. All information submitted to Arctic Star by the User is true and accurate,
3. Supply of such information is not in conflict with any other agreement that the User is bound by;
4. Supply of such information will not cause injury to or defame any person;

• Indemnity
  The User agrees to indemnify and keep Arctic Star, its agents and employees effectively indemnified of, from and against any claim or demand of whatsoever nature and howsoever made by any person or party whomsoever and of, from and against all actions and proceedings which any person or persons whomsoever may take against them arising from the User’s access to the Website, violation of the Agreement. Arctic Star will notify the User of any such claim or demand and the User agrees to provide Arctic Star with reasonable assistance and expenses in defending such claim or demand.

• Limitation of Liability
  In no event can Arctic Star’s aggregate liability, if any, that is proven and ordered by a competent court or arbitral tribunal, as the case may be, pursuant to a claim from a User, extend beyond the purchase price paid pursuant to an order under which such liability has arisen and been established. It is clarified that Arctic Star will not be responsible for any business loss or any indirect or consequential loss that has arisen from such liability.

• Modification
  Arctic Star reserves the right to modify the Agreement from time to time. The Agreement shall be updated on the Website. Arctic Star encourages all Users to review the Agreement whenever they visit the Website.

• Severability
  If any provision of the Agreement is held to be invalid or unenforceable for any reason, the remainder of the provisions will continue in full force and effect as if the Agreement had been executed with the invalid portion eliminated.

• Waiver
  Any relaxation or delay made or indulgence or forbearance shown by Arctic Star in exercising its rights under the Agreement shall not be deemed or construed to be waiver of any such rights and shall not prejudice Arctic Star’s rights and remedies in any  manner whatsoever.

•  Force Majeure
  Arctic Star will not be held responsible for any delay or failure to comply with its obligations under the Agreement that arise from the happening of a force majeure event.

• Governing Law

The terms of the Agreement shall be governed and construed in accordance with the laws of the Republic of India.

• Dispute Resolution

In case of any dispute arising out of the Agreement, the same shall be adjudicated by the sole arbitrator appointed by Arctic Star, as per provisions of Arbitration and Conciliation Act, 1996. The place of arbitration shall be Mumbai and language used English.
